Terms of Service

These Terms of Service ("Terms") govern your access to and use of ProofPilot ("ProofPilot," "we," "us," or "our"), including our website, dashboard, proof pages, embeddable widgets, and related services (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.

1. The Service

ProofPilot lets you collect feedback from your customers, turn that feedback into testimonials and case studies, and publish that content on proof pages and widgets you control. You are responsible for the accuracy of the content you publish through the Service and for obtaining any consent required from the customers you contact.

2. Accounts

You must provide accurate information when creating an account and keep your login credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at support@proofpilot.dev if you suspect unauthorized use of your account.

3. Acceptable use

You agree not to use the Service to:

  • Publish content that is false, fabricated, or that misrepresents a real customer's statement;
  • Solicit feedback from or contact individuals without a lawful basis to do so;
  • Upload malicious code, attempt to breach the security of the Service, or interfere with other users' access;
  • Use the Service to send unsolicited bulk email or spam;
  • Reverse engineer, resell, or white-label the Service without our written consent; or
  • Violate any applicable law, including data protection and anti-spam laws that apply to how you collect and use customer feedback.

We may suspend or terminate accounts that violate this section, with or without notice, particularly where suspension is necessary to protect the Service or other users.

4. Subscriptions and billing

Paid plans are billed in advance on a recurring monthly or annual basis through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on file for all applicable fees. Prices are listed in U.S. dollars, and fees are exclusive of any taxes unless stated otherwise.

Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date. You can cancel at any time from your account settings; cancellation takes effect at the end of your current billing period, and you will retain access to paid features until then. We do not provide prorated refunds for partial billing periods except as described in our Refund Policy.

We may change our pricing or plan features from time to time. If a price change affects your subscription, we will provide reasonable advance notice before it takes effect.

5. Your content and intellectual property

You and your customers retain all ownership rights to the testimonials, feedback, case study content, photos, and logos submitted through the Service ("Customer Content"). By submitting or publishing Customer Content through ProofPilot, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content solely as necessary to operate the Service — for example, to render your proof pages and widgets and to generate testimonial or case study drafts on your behalf. This license ends when you delete the content or close your account, except where content has already been cached or embedded on third-party pages you published it to.

ProofPilot and its logo, product name, and underlying software are our intellectual property. Nothing in these Terms grants you rights to our trademarks or brand assets beyond what is necessary to use the Service as intended.

6. Third-party services

The Service integrates with third-party providers — for example, a payment processor for billing and an optional AI provider for generating draft testimonial and case study copy. Your use of those integrations is also subject to the applicable third-party terms. We are not responsible for the acts or omissions of third-party providers.

7. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated drafts will be accurate without your review.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROOFPILOT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

8. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms and do not cure the breach within a reasonable time after notice, or immediately if required to prevent harm to the Service or other users. Upon termination, your right to use the Service ends, and we may delete your data in accordance with our Privacy Policy.

9. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

10. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
